1. Introduction & Acceptance
These Terms of Service ("Terms") govern your access to and use of the website collabscafe.com, the creator portal at creator.collabscafe.com, and any associated mobile applications and services (collectively, the "Platform") operated by Collabscafe (PRIVATE) LIMITED ("Collabscafe", "we", "our", or "us"), a company registered in Karachi, Pakistan.
By accessing or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must not use the Platform.
2. Definitions
- "Creator" — a content creator, influencer, or freelancer who registers on the Platform to offer services to Brands.
- "Brand" — a business, advertiser, agency, or individual who registers on the Platform to find and hire Creators.
- "Order" — a request from a Brand to a Creator for specific content or services, including agreed deliverables, timeline, and price.
- "Content" — any text, images, videos, audio, or other material created, uploaded, or delivered through the Platform.
- "Audience Quality Score" — an estimated score (0–100) derived from public social media engagement signals, displayed on Creator profiles to help Brands evaluate audience authenticity.
- "Platform Fee" — the service fee charged by Collabscafe on transactions, as described in Section 8.
3. Eligibility & Account Registration
- You must be at least 18 years old to use the Platform.
- You must provide accurate, complete, and current information during registration.
- You may only maintain one account per person or legal entity.
- You are responsible for safeguarding your account credentials and for all activity under your account.
- You must notify us immediately at hello@collabscafe.com if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information, violate these Terms, or are inactive for an extended period.
4. Platform Description
Collabscafe is an online marketplace that connects content Creators with Brands for paid collaborations. We provide tools including: creator profile hosting, search and discovery, messaging, order management, secure payment processing, and audience verification (Audience Quality Scores).
Collabscafe is a marketplace facilitator, not a party to Creator-Brand agreements. We facilitate introductions, communications, and payments between Creators and Brands, but we are not a party to any contract formed between a Creator and a Brand. We do not guarantee the quality, safety, or legality of any Content produced, nor do we guarantee that any Creator or Brand will fulfill their obligations.
5. Creator Obligations
- Maintain an accurate, truthful profile that reflects your actual capabilities, audience, and experience.
- Respond to new Orders within 72 hours (accept or decline). Failing to respond may result in automatic cancellation and may negatively affect your profile visibility.
- Deliver Content that meets the agreed brief, within the agreed timeline.
- Do not misrepresent your audience size, engagement metrics, or follower authenticity. Purchasing fake followers, likes, views, or engagement is a violation of these Terms and will result in immediate account termination.
- All Content you deliver must be original and must not infringe any third-party intellectual property rights, privacy rights, or other rights.
- Comply with all applicable laws, advertising regulations, and platform-specific guidelines (e.g., FTC disclosure requirements, local advertising standards).
- Do not solicit Brands to transact outside the Platform to circumvent Platform Fees.
6. Brand Obligations
- Provide clear, complete creative briefs and requirements when placing Orders.
- Pay for Orders at the time of checkout. Funds are held by the Platform until Order completion.
- Review delivered Content and approve or request revisions within the timeframes specified in Section 7.
- Do not use delivered Content beyond the usage rights agreed upon in the Order.
- Do not solicit Creators to transact outside the Platform to circumvent Platform Fees.
- Treat Creators with respect. Harassment, abusive language, or unreasonable demands are prohibited.
7. Orders & Fulfillment
- Order Placement: A Brand selects a Creator's package and places an Order with payment at checkout. Payment is captured and held by the Platform.
- Creator Response: The Creator has 72 hours to accept or decline the Order. If no response is received, the Order is automatically cancelled and the Brand receives a full refund.
- Content Delivery: The Creator delivers Content within the timeline agreed in the Order.
- Brand Review: The Brand reviews the delivered Content. The Brand may:
- Approve — funds are released to the Creator.
- Request revisions — revisions must align with the original brief. Unreasonable scope changes are not covered.
- Open a dispute — see Section 10.
- Auto-Completion: If the Brand does not respond within 10 days after Content delivery, the Order is automatically marked as complete and funds are released to the Creator.
Declining an Order does not penalize the Creator. However, repeatedly ignoring Orders (letting them auto-cancel) may negatively impact profile visibility.
8. Payments & Fees

Payment Processing
- All payments are processed by PayFast. By using the Platform's payment features, you also agree to PayFast's Terms of Service.
- Funds are held by the Platform after checkout until the Order is completed (Brand approves or auto-completion triggers).
- Creator payouts are processed after Order completion. Payout timing depends on PayFast's processing schedules.
- All prices are displayed in PKR (Pakistani Rupee) unless otherwise stated.
Taxes
You are solely responsible for determining and paying any taxes applicable to your earnings or purchases on the Platform. Collabscafe does not withhold taxes on behalf of Creators or Brands.
9. Refund Policy

Important: Once an Order is approved (or auto-completed), funds are released to the Creator and cannot be reversed by Collabscafe. We strongly recommend that Brands review all delivered Content carefully before approving.
Refunds are processed via the original payment method through PayFast. Processing times are typically 7–14 business days depending on your bank or payment provider. The Platform Fee is refunded in all scenarios where the Order is cancelled before completion.
10. Dispute Resolution
- Direct Resolution (48 hours): If a Brand is unsatisfied with delivered Content, the Brand and Creator should first attempt to resolve the issue directly through Platform messaging within 48 hours.
- Escalation to Collabscafe: If the parties cannot reach agreement, either party may escalate the dispute to Collabscafe support by emailing hello@collabscafe.com with the Order ID and relevant evidence (screenshots, briefs, delivered content).
- Review & Decision: Collabscafe's support team will review the evidence from both parties and issue a decision. Possible outcomes include:
- Full refund to Brand.
- Partial refund to Brand (with partial payment to Creator).
- Order completed as-is (payment to Creator in full).
- Request for additional revisions.
- Account action against either party for violation of Terms.
- Finality: Collabscafe's decision on platform-mediated disputes is final and binding within the Platform.
- Legal Proceedings: Nothing in these Terms prevents either party from seeking legal remedies in courts of competent jurisdiction (see Section 18 — Governing Law).
11. Content Rights & Intellectual Property
Before Order Completion
The Creator retains full ownership and intellectual property rights to all Content until the Order is approved and payment is released.
After Order Completion
- Upon approval and payment release, Content rights transfer to the Brand within the scope defined in the Order (e.g., specific platforms, duration, usage type).
- Usage rights for advertising, repurposing, or redistribution must be explicitly agreed upon in the Order. If usage rights are not specified, the Brand receives a license to use the Content on the platforms stated in the brief, for the campaign described.
- The Creator retains the right to use delivered Content in their portfolio — including on their Collabscafe profile, personal website, and social media — for the purpose of showcasing their work, unless the Order explicitly includes a confidentiality clause.
Platform Content
Collabscafe does not claim ownership of any Content uploaded by Creators or Brands. By uploading Content to the Platform (profiles, portfolios, messages), you grant Collabscafe a non-exclusive, worldwide, royalty-free license to display, distribute, and promote that Content solely for the purpose of operating and marketing the Platform.
12. Audience Quality Score & Social Platform Data
We calculate Audience Quality Scores using data obtained through official platform APIs (YouTube Data API v3, Instagram Graph API, TikTok API).
Scores are estimates, not guarantees. Audience Quality Scores are derived from public engagement signals (view-to-follower ratio, engagement rate, comment quality, posting consistency, and channel/account age). We do not validate individual followers. Scores should be used as one of many factors in evaluating a potential collaboration, not as the sole basis for business decisions.
Platform-Specific Data Collection
- YouTube & Instagram: Data is collected from public APIs without requiring the Creator's action or explicit consent. Creators whose social accounts are publicly accessible as Business or Creator accounts may have their public engagement metrics displayed.
- TikTok: Data is collected only with the Creator's explicit OAuth consent. Creators who connect their TikTok account can disconnect at any time, which immediately removes their TikTok data and score from the Platform.
Social platform data is collected strictly for verification and audience quality assessment purposes. We do not sell any data. For full details, see our Privacy Policy.
13. Prohibited Conduct
The following activities are strictly prohibited on the Platform:
- Purchasing or artificially inflating followers, likes, views, comments, or any other engagement metrics on any social platform.
- Providing false, misleading, or inaccurate information on your profile or in orders.
- Impersonating another person, brand, or entity.
- Harassment, threats, hate speech, discrimination, or abusive behavior toward any user.
- Uploading or delivering Content that is illegal, infringes intellectual property rights, or violates third-party rights.
- Circumventing the Platform to conduct transactions off-platform and avoid Platform Fees.
- Scraping, automated access, reverse engineering, or any unauthorized data collection from the Platform.
- Attempting to interfere with the Platform's operation, security, or infrastructure.
- Using the Platform for money laundering, fraud, or any illegal purpose.
- Creating multiple accounts to manipulate search rankings, reviews, or Platform features.
Violation of any of these rules may result in immediate account suspension or termination, forfeiture of pending payouts, and potential legal action.
14. Platform Rights
- We may modify, suspend, or discontinue any feature or the entire Platform at any time, with or without notice.
- We may remove any Content that violates these Terms or that we deem inappropriate, at our sole discretion.
- We may suspend or terminate any account at our discretion, with or without cause.
- We may change the Platform Fee structure with a minimum of 30 days advance notice communicated via email or a prominent Platform notification.
- We may implement Audience Quality Scores, trust badges, or other verification indicators on Creator profiles based on our internal assessment criteria.
15. Third-Party Services
The Platform integrates with the following third-party services. Your use of the Platform constitutes acknowledgment of these services' terms:
16. Limitation of Liability
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, COLLABSCAFE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee:
- Uninterrupted or error-free operation of the Platform.
- The accuracy of Audience Quality Scores or any engagement metrics.
- The quality, safety, legality, or timeliness of any Content delivered by Creators.
- That Brands will pay for services or fulfill their obligations.
- That Creators will deliver Content as agreed.
- Any specific business outcomes, revenue, or return on investment.
IN NO EVENT SHALL COLLABSCAFE'S TOTAL LIABILITY TO YOU EXCEED THE TOTAL PLATFORM FEES YOU HAVE PAID TO COLLABSCAFE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
COLLABSCAFE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17. Indemnification
You agree to indemnify, defend, and hold harmless Collabscafe (PRIVATE) LIMITED, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- Your use of the Platform.
- Content you create, upload, or deliver.
- Your violation of these Terms.
- Your violation of any third-party rights (intellectual property, privacy, or other rights).
- Any dispute between you and another Platform user.
18. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any legal proceedings arising out of or relating to these Terms or your use of the Platform shall be brought exclusively in the courts of Karachi, Pakistan, and you consent to the personal jurisdiction of such courts.
19. Termination
- By you: You may terminate your account at any time by contacting us at hello@collabscafe.com. Pending Orders must be completed or cancelled before account deletion.
- By us: We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or at our sole discretion.
- Effect of termination: Upon termination, your access to the Platform ceases. Pending payouts for completed Orders will still be processed. Your data will be handled per our Privacy Policy retention schedule.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
21. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Collabscafe regarding your use of the Platform. They supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
22. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the changes.
If you do not agree with the revised Terms, you must stop using the Platform and may request account deletion.
